                    <description><![CDATA[<p style="text-align: center;"><b>Terms of Reference (TOR) for technical service for facilitating the Local Agriculture Development Plan and Strategy in selected Local Governments</b></p>
<p><b>1. Background</b></p>
<p><b>Heifer Project International Nepal (HPIN)</b>, an international non-governmental organization, has been working in Nepal since 1997. With its mission ‘ending hunger and poverty, while caring for earth’, HPIN is currently active in 53 districts and contributing to food system transformation in partnership with government, non-government organizations (NGOs), academia, the private sector, and value chain actors at national and sub-national levels. Heifer adopts the facilitative approach to strengthen the agri-food system and crop and livestock sub-systems by promoting regenerative practices, enhancing market linkages, building social capital, promoting regenerative practices, social capital development, and increasing economic opportunities for smallholder farmers. As of now, Heifer in Nepal has benefited over 450,000 farm families, organized in more than 15,000+ groups and 300+ Women Cooperatives, which play a key role in strengthening local economies and promoting inclusive participation in food systems.</p>
<p>Following the promulgation of the Constitution of Nepal (2015) and the transition to a federal governance system in 2017, local governments have been mandated to lead agricultural production, extension services, and market development under the Local Government Operation Act (2017). These provisions position local governments as the primary enablers in strengthening Nepal’s agri-food systems and advancing agricultural development. Despite agriculture being a top priority for most Palikas and having initiated various agriculture development-related services to improve production, productivity, and market linkages, their access, coverage, and effectiveness remain constrained by limited institutional capacity, inadequate and inconsistent systems and policies, the absence of comprehensive sectoral plans, and insufficient technical expertise and human resources at the local levels.</p>
<p>HPIN has partnered with over 90 local governments to strengthen agriculture and livestock development through context-specific programs focused on productivity, business development services, institutional service delivery mechanisms, and improving market linkages and creating an enabling environment for selected high-potential value chains within local food systems. In addition, Heifer has provided technical assistance to more than 20 Palikas to develop and implement long-term agriculture development plans, contributing to improved Agri-governance mechanisms, aligning local agriculture development with federal structures and priorities, and contributing to more resilient, inclusive food systems, resulting tangible outputs even in short  As a result,  yielded tangible results even in a short period.  Building on this experience and in response to requests from two additional local governments, namely Phikkal Rural Municipality and Tinpatan Rural Municipality in Sindhuli, HPIN is extending technical assistance to develop localized agriculture development strategies, including the mobilization of experts to support the formulation of agriculture development plans and strategies.</p>
<p><b>2. Objectives</b></p>
<p>The overall objective of this assignment is to provide technical assistance to selected Local Governments to formulate a five-year Agriculture and Livestock Sectoral development plan and strategy (LADPS). This should include the following specific objectives:</p>
<ul>
<li>Collect data/information regarding the current production, inputs, technical services, financing, aggregation, marketing, market centers, policies, gaps, challenges and opportunities in the areas of agriculture and livestock sectors.</li>
<li>Identify target commodities and areas, and immediate and long-term support sectors for sustainable growth of agri-livestock sectors.</li>
<li>Formulate investment plans in this sector with the alignment of current revenue projections of Palikas, Provincial, and Federal Government subsidies, and investment of the private sector.</li>
<li>Assess the capacity gap and formulate a capacity development plan of LGs to implement a long-term agri-livestock development plan.</li>
<li>Organize consultative meetings/workshops, sharing sessions, and long-term plan validation workshop with stakeholders.</li>
<li>Define mission, vision, goals, objectives, and activities with an estimated budget for agriculture and livestock.</li>
<li>Develop an annual plan to translate the long-term plan of the agri-livestock sector into action.</li>
</ul>
<p><b>3. Scope of Work</b></p>
<p>The specific scope of work includes:</p>
<ol>
<li>Review of existing annual development plans, periodic plans, sectoral plans, and policies promulgated by LGs.</li>
<li>Finalize methodologies, data collection processes, and planning frameworks in consultation with Heifer and ensure ownership of LGs.</li>
<li>Facilitate inception workshops at the local government level to build consensus on the strategy formulation process, stakeholder roles, and action plans.</li>
<li>Develop checklists and questionnaires for focus group discussions (FGD) and key informant interviews (KII).</li>
<li>Conducting orientation sessions for mobilizers, facilitators, project staff, and Palika technical staff to support data collection.</li>
<li>Facilitating consultative visioning workshops at the Palika level to set vision, mission, and goals of the Palikas on agriculture and livestock sector development. The key participants shall be elected representatives of Palika, concerned administrative and technical departmental staff, representatives of lead farmers, cooperatives, and value chain actors, service providers, and other relevant stakeholders at the Palika level.</li>
<li>Collect and analyze primary and secondary information on agriculture and livestock value chains to inform strategy documentation.</li>
<li>Co-create the draft LADPS with the Palika team, including a clear vision, mission, goals, expected outcomes, outputs, and major activities with investment requirements and a resource plan.</li>
<li>Share and revise the draft strategy based on feedback from Local Government, stakeholders, and Heifer.</li>
<li>Facilitate validation workshops to gather input and foster ownership of LGs.</li>
<li>Support to finalize long-term plans and facilitate LG to endorse the plans.</li>
<li>Prepare and submit a comprehensive report outlining the processes referred to and the final output document.</li>
</ol>
<p><b>4. Methodology</b></p>
<p>The consulting firm/organization shall adopt an inclusive and participatory methodology involving extensive consultation with Local Government and allied stakeholders to ensure ownership and effective implementation of the long-term plan. This includes consultations with LG’s leadership (e.g., Chair, Vice Chair), ward chairs, sectoral staff, cooperatives, farmers, and value chain actors.</p>
<p>Steps include:</p>
<ul>
<li>Consultations with Heifer, project partners, and LGs.</li>
<li>Review of literature, materials, reports, and relevant resources related to the agriculture and livestock sector</li>
<li>Develop questionnaires, checklists, and other tools for the collection of required data (primary and secondary) through FGD, KII, and observations.</li>
<li>Organizing workshops at various stages (inception, visioning, and validation) of the plan formulation process.</li>
<li>Conducting validation workshops and revising drafts based on feedback.</li>
</ul>
<p><b>5. Outputs/Deliverables</b></p>
<ul>
<li>An inception report with methodology, planning framework, tools, and checklists.</li>
<li>Draft and final copies of the plans (electronic and hard copies).</li>
<li>Milestone and assignment completion reports.</li>
</ul>
<p><b>6. Required Professional Competencies and Qualifications</b></p>
<p>The firm or the technical support team should have a composition of agriculture economist, agriculture expert, livestock experts and GESI expert with respective roles and technical inputs to the Palika’s.</p>
<p>The lead consultant should have:</p>
<ul>
<li>A Master’s degree in agricultural sciences, agricultural economics, livestock sciences, or related fields, with 10 years of relevant experience.</li>
<li>Extensive knowledge of Nepal’s federalized agriculture sector.</li>
<li>Proven experience in the local agricultural sector planning, policy formulation, and service delivery, and completion of at least three similar assignments.</li>
<li>Proficiency in analytical, facilitation, and writing skills (Nepali language preferred).</li>
</ul>
<p><b>7. Timeline</b></p>
<p>The assignment spans three months from April to June 2026, with the final report due by June 10, 2025.</p>
<p><b>8. Budget and Payment Schedule</b></p>
<p>Payments will be milestone-based:</p>
<ul>
<li><b>30% </b>upon submission of the inception report.</li>
<li><b>70% </b>upon completion of the assignment and acceptance of the final LADPS.</li>
</ul>
<p><b>9. Required Documents for Submission: </b></p>

<li>Cover Letter</li>
<li>Brief profile of the firm/organization</li>
<li>Updated CV (relevant competency and experience not more than 3 pages) of the proposed team</li>
<li>Technical proposal including proposed methodology, calendar of operation, deliverables, and roles and responsibilities of key professionals.</li>
<li>Financial proposal with detailed breakdown</li>
<li>At least three reference documents developed by the team leader</li>
<li>Firm/organization Registration certificate</li>
<li>VAT certificate</li>
<li>Tax clearance certificate (FY 081/82)</li>
</ul>
<p><b>10. Submission Guidelines</b></p>
<p>Applications, including a cover letter, firm/organization profile, CVs, and proposals (technical and financial), must be submitted to <a href="http://heifer.org/"><b>Procurement-NP@heifer.org</b></a>  by <b>April 20, 2026, 5:00 PM</b>, with the subject line: <b><i>“Application for facilitating LADPS of Local Governments.”</i></b></p>
<p><i>Applications received with incomplete documents and after the due date will be disqualified. Only shortlisted applicants will be contacted for the further evaluation process. Applications will be evaluated based on understanding of the assignment, proposed methodology and approach, relevant experience, qualifications, and cost-effectiveness of the proposal. All the application information and documents shall be kept strictly confidential and used only for this evaluation process. By strengthening self-help groups, women-led cooperatives and producer organizations, Heifer builds social capital and collective agency, empowering communities to lead their own transformation.</p>
<p>Despite agriculture contributing about one-third of Nepal’s GDP and employing over two-thirds of its workforce, smallholder farmers continue to face constraints in accessing suitable and affordable finance. Existing credit options often fail to meet their needs due to lack of quality collateral, limited availability or stringent conditions, increasing production costs and reducing competitiveness.</p>
<p>Heifer has emerged as a key development agency in mobilizing agricultural investments, forging strategic partnerships, and advancing sustainable agriculture through its signature programs VITA, SLVC, and Milky Way. Since 1997, Heifer has supported financial inclusion by linking smallholder farmers and women-led cooperatives with formal financial institutions, facilitating USD 20.5 million in agriculture across Nepal.</p>
<p>Aligned with Nepal’s Agriculture Investment Decade (B.S. 2082-2092) ten-year development campaign, the Integrated National Financing Framework (INFF) Financing Strategy 2025–2030, and the 16th Five-Year Plan (2024/25–2028/29), which prioritize agricultural investment as a key driver of economic growth, Heifer plans to enhance and accelerate agricultural financing.</p>
<p>Heifer has been successfully implementing a couple of de-risking facilities to facilitate investment in smallholder farmers and agricultural cooperatives. Building on this foundation, Heifer aims to scale these interventions strategically and facilitate capital flow through enhanced de-risking and guarantee mechanisms. This approach will be designed to establish a sustainable full cycle of investment within the agriculture sector, generating long-term economic, social, and environmental impacts.</p>
<p>Therefore, Heifer is seeking highly competent and dynamic experts to review existing de-risking mechanisms and to suggest a well-structured, viable guarantee model that can be easily implemented and scaled.</p>
<p><b>Objectives:</b></p>
<p>The objective of this study is to develop a strategic framework for utilizing guarantee funds to accelerate investment in the agriculture sector. This study will build on and complement existing guarantee mechanisms in Nepal (such as DCGF and other facilities).</p>
<ul>
<li>Map and analyze existing and potential de-risking and guarantee mechanisms specifically for investment in food system in Nepal, including identified gaps and opportunities.</li>
<li>Identify key constraints specifically affecting use and scaling of guarantee mechanisms including those arising from legal, and regulatory frameworks.</li>
<li>Recommend legally sound and operationally feasible pathway for establishing or deploying guarantee mechanisms, including local, national (e.g., Deposit and Credit Guarantee Fund-DCGF, local government) and international funds, to mobilize investment in Nepal’s food system.</li>
</ul>
<p><b>Scope of work</b></p>
<p>The study should develop comprehensive, actionable guidelines for implementing guarantee mechanisms to facilitate investment in Nepal’s agriculture sector across DCGF, government (local, provincial and national), cooperatives, banks and financial institutions (BFIs). The study will build on existing mechanisms and focus on improving their effective utilization and scalability.</p>
<ul>
<li>Review existing guarantee mechanisms and de-risking instruments in Nepal’s agriculture financing with focus on gaps, inefficiencies and opportunities for improving and scaling.</li>
<li>Validate social capital as a de-risking mechanism for financing.</li>
<li>Identify and detail all potential sources of guarantee funds, including government agencies at national, provincial and local levels, development partners, impact investors, private sector entities, and BFIs. Include their terms sheet, conditions, expectations and requirements.</li>
<li>Review national policies, laws and regulatory frameworks governing guarantee funds, agricultural financing, cooperative operations and financial sector regulations including DCGF credit guarantee schemes, NRB regulatory frameworks, risk management provisions and agri-lending practices and manuals (e.g. Sahaj/NBI).</li>
<li>Special review of newly released government policy &#8216;Good Governance Roadmap 2082&#8217; for tackling the cooperative crisis.</li>
<li>Maps require approvals, registrations and compliance requirements at each institutional level to implement guarantee mechanism including tax implications, accounting standards and financial reporting requirements for guarantee fund operations.</li>
<li>Identify potential legal risks and propose mitigation strategies and recommend policy and advocacy priorities or regulatory amendments needed to facilitate smooth implementation.</li>
<li>Design viable guarantee mechanisms tailored to each institutional level, including credit guarantee schemes, risk-sharing facilities, revolving fund structures, and innovative de-risking instruments suitable to facilitate investment in agriculture.</li>
<li>Define priority areas for using guarantee funds, including key value chains, locations, and target groups.</li>
<li>For each potential mechanism, provide step-by-step operational processes consisting of application procedures, eligibility and documentation requirements, due diligence, approvals, decision-making structures, and fund transfer modalities.</li>
<li>Analyze potential implementation challenges (governance, capacity, default, political interference, regulatory constraints, bureaucratic delays, coordination issues, and fund management) and recommend preventive measures, mitigation strategies with clear action steps.</li>
<li>Demonstrate technical rigor in financial structuring including risk-sharing, leverage and pricing mechanisms and adequately address scaling risks such as over-indebtedness, portfolio concentration and potential market distortion.</li>
<li>Define procedures for claim management in case of default or risk realization covering documentation, claim submission, verification, approval, disbursement, and recovery across each institutional level, in compliance with laws and policies.</li>
<li>Specify procedures for fund management after guarantee period completion for releasing unutilized funds for rotation to new guarantee cycles, redeployment to other agriculture initiatives, or conversion to revolving fund capital. Address contractual and legal requirements, decision-making criteria, accounting treatment and tax implications.</li>
</ul>
<p>Ensure the proposed mechanism aligns with and complements existing DCGF credit guarantee schemes. The study should develop guidelines covering the full lifecycle of the guarantee mechanism from sourcing and securing guarantee funds, operationalizing them within the agriculture financing ecosystem, utilizing and managing risks, to exiting and reusing capital effectively.</p>
<p><b>Deliverables:</b></p>
<p>The consultant/team will deliver the following:</p>
<ul>
<li><b>Inception Report:</b> Methodology, work plan, timeline and data collection tools.</li>
<li><b>Major Findings Sharing:</b> Present draft findings to Heifer team and integrate feedback.</li>
<li><b>Draft Report:</b> Literature review, preliminary findings and initial recommendations and final report with complete mechanism design and procedures including practical outputs such as SOPs, process flow diagrams, and mechanism design options.</li>
</ul>
<p><b>Required Qualifications and Experience:</b></p>
<ul>
<li>Master’s degree in economics, Finance, Law, Public Policy, or a related field.</li>
<li>Minimum 10 years of proven experience in financing and law/policy related work.</li>
<li>The consulting team must collectively include Experts on Financial/Guarantee Mechanism Specialist and Legal and Regulation.</li>
<li>Demonstrated experience in designing and/or operationalizing guarantee funds, credit enhancement mechanisms, or risk-sharing facilities, preferably in agriculture or SME finance, including financial structuring aspects such as risk sharing, leverage and pricing.</li>
<li>Strong technical expertise in de-risking instruments, including credit guarantees, risk-sharing facilities, revolving funds, and blended finance models with practical application experience preferred.</li>
<li>Practical experience with Banking and Financial Institutions (BFIs), including credit appraisal processes, risk management, and regulatory compliance and implementation of financial mechanisms.</li>
<li>Experience with public-sector financing instruments, including government-backed guarantee funds (e.g., DCGF or comparable mechanisms).</li>
<li>In-depth knowledge of Nepal’s legal and regulatory frameworks related to financial services, cooperatives, guarantees, collateral, taxation, and fund management.</li>
<li>Proven experience working with government agencies and regulators, BFIs, cooperatives, development partners, and impact investors.</li>
<li>Strong track record in policy and regulatory analysis and ability to develop legally sound, practical, and implementable policy recommendations and advocacy priorities.</li>
<li>Experience working with smallholder farmers, cooperatives, and agri-SMEs in Nepal with understanding of agriculture value chains and rural finance system will be an added advantage.</li>
<li>Excellent analytical, writing, and presentation skills, with the ability to produce clear and actionable guidance.</li>
</ul>
<p><b>Duration and Assignment:</b></p>
<p>The assignment is expected to cover 60 days of time from the date of signing the contract, over a two and half month’s period.</p>
<p><b>Reporting and Supervision:</b></p>
<p>The team/consultant will work under the direct supervision of Access to Finance Lead and coordinate closely with designated focal points. Regular progress updates will be provided as agreed.</p>

Heifer applies a food systems approach to help farmers earn more income and generate economic opportunities for rural women, youth, and marginalized communities.</p>
<p>Heifer Project International has been operating in Nepal since 1997, directly serving over 400,000 households through partnerships with over 100 local non-governmental organizations (NGOs). Heifer currently implements programs focused on sustainable living income gaps for smallholder farmers, emphasizing cooperatives, sustainable food systems, inclusive finance, and market systems.</p>
<p>In Nepal, the agricultural sector faces numerous challenges, including <b>high post-harvest losses, limited access to climate-smart food production and processing technologies, weak market systems</b>, and an <b>inadequate policy environment </b>for supporting smallholder farmers and their resilience. These challenges require specialized expertise to create solutions that are sustainable and aligned with both local and global development goals.</p>
<p><b>Objective:</b></p>
<p>The purpose of this consultancy is to design a comprehensive project <b></b>that addresses the challenges and gaps in Nepal’s food systems. The consultant or team of consultants will help <b>design the project concept,</b> including a <b>Theory of Change (TOC), results framework,</b> and <b>strategic intervention areas.</b> Key focus areas include:</p>

<p><b>1. Background</b></p>
<p><b>Heifer International Nepal </b>is dedicated to ending hunger and poverty while caring for the Earth. Since its inception in 1957, Heifer has impacted the lives of over 400,000 families through agriculture and livestock programs, focusing on empowering rural women. By creating Self-help Groups and Social Entrepreneur Women’s Cooperatives (SEWCs), Heifer helps build resilient communities and sustainable livelihoods. With a holistic approach, Heifer collaborates with local governments and partners, engages youth to improve agricultural practices, supports women-led cooperatives, and creates lasting economic change. Its mission is to ensure families achieve sustainable living incomes, with access to food, shelter, education, and healthcare, while driving progress toward more inclusive and resilient agri-food systems</p>
<p>Social Entrepreneur Women’s Alliance (SEWA) Nepal is a national organization dedicated to enhancing sustainable livelihoods for women entrepreneurs, smallholder farmers, and marginalized communities through agriculture and livestock enterprises. Established as an apex body, SEWA Nepal represents over 200 Social Entrepreneur Women’s Cooperatives (SEWCs), encompassing a network of 200,000 members across six provinces in Nepal. It’s one of the score missions is to improve access to affordable and sustainable capital for SEWCs and their members.</p>
<p>In pursuit of this mission, SEWA Nepal recognized the need for an alternative financing mechanism. This led to the feasibility study of establishing a &#8220;D&#8221; class financial institution or transforming an existing &#8220;D&#8221; class financial institution to align with its objectives. The independent studies conducted have proposed two distinct pathways for achieving this goal:</p>
<ol>
<li>Establishing a New &#8220;D&#8221; Class Financial Institution in Karnali province: Creating a dedicated financial institution that aligns with SEWA Nepal’s vision and provides tailored financial solutions to SEWCs and their members.</li>
<li>Collaboration or Transforming an Existing &#8220;D&#8221; Class Financial Institution whose vision and operational focus align with SEWA’s aspirations: Identifying and buying or restructuring an existing institution to meet the needs of SEWA Nepal’s network, enabling more efficient and sustainable financial services delivery.</li>
</ol>
<p>These pathways represent a strategic approach to addressing the financing challenges faced by women entrepreneurs and marginalized communities while fostering economic empowerment and sustainability.</p>
<p>To operationalize these options, awareness rising among its board members, provincial chapters, and cooperative members is needed, ensuring their willingness, readiness, and ownership throughout the process. Decision-making will rest primarily with SEWA and its member cooperatives, supported by evidence-based recommendations and participatory workshops.</p>
<p>Heifer International Nepal, serving as a facilitator is seeking a qualified consultant to facilitate the entire process and develop a comprehensive support package for any feasible option i.e. the potential establishment of a Class &#8216;D&#8217; financial institution or a clear pathway to the desired outcome. This includes assessing current situation, legal compliance, and financial readiness while providing actionable recommendations aligned with Nepal’s policies and national financial inclusion goals.</p>
<p><b>2. Objectives</b></p>
<p>The primary objective of this consultancy is to facilitate the establishment or transformation of a &#8220;D&#8221; class financial institution to enhance access to affordable and sustainable financing for Social Entrepreneur Women’s Cooperatives (SEWCs) and their members.</p>
<p>The specific objectives include:</p>
<ul>
<li>Assessing the feasibility of establishing a new &#8220;D&#8221; class financial institution in Karnali Province or transforming an existing one to align with SEWA Nepal’s mission.</li>
<li>Raising awareness among SEWA board members, provincial chapters, and cooperative members to ensure their engagement, readiness, and ownership.</li>
<li>Develop actionable recommendations and a strategic roadmap for operationalizing the selected pathway, ensuring alignment of the proposed financial solutions with national financial inclusion policies and goals.</li>
</ul>
<p><b>3. Methodologies</b></p>
<p>Phase 1: Inception and Planning (2 months)</p>
<ul>
<li>Desk Review: Study relevant policies, regulations, and financial inclusion goals in Nepal, as well as SEWA Nepal’s operational and financial structure.</li>
<li>Stakeholder Mapping: Identify and engage key stakeholders, including SEWA board members, cooperatives, government agencies, and financial institutions.</li>
<li>Inception Workshop: Conduct a workshop with SEWA representatives and Heifer International Nepal to refine the scope and methodology.</li>
</ul>
<p>Phase 2: Situational Analysis (3 months)</p>
<ul>
<li>Further evaluate the findings of past studies including but not limited to financial, legal, and operational readiness for establishing or transforming a &#8220;D&#8221; class financial institution.</li>
<li>Assessment Existing Market: Analyze the demand for financial products, the competitive landscape, and the needs of SEWCs and smallholder farmers.</li>
<li>Risk Analysis: Identify potential risks, including financial, regulatory, and operational challenges.</li>
</ul>
<p>Phase 3: Stakeholder Engagement (5 months)</p>
<ul>
<li>Awareness-Raising Workshops: Facilitate participatory workshops with SEWA board members, provincial chapters, and cooperative members.</li>
<li>Focus Group Discussions: Gather insights from SEWC members and other stakeholders on their financial needs and expectations.</li>
</ul>
<p>Phase 4: Pathway Development (3 months)</p>
<ul>
<li>Option Analysis: Compare the feasibility of establishing a new &#8220;D&#8221; class institution versus transforming an existing one.</li>
<li>Strategic Roadmap: Develop a detailed plan, including timelines, required resources, and potential partnerships.</li>
</ul>
<p>Phase 5: Recommendations and Final Reporting (2 months)</p>
<ul>
<li>Actionable Recommendations: Provide evidence-based recommendations aligned with Nepal’s prevailing policies and SEWA’s aspirations.</li>
<li>Validation Workshop: Present findings and gather feedback from SEWA and Heifer International Nepal.</li>
<li>Final Report: Deliver a comprehensive report with key findings, recommendations, and subsequent steps.</li>
</ul>
<p><b>4. Deliverables</b></p>
<p>Following measurable Key Performance Indicators (KPIs) are envisioned for each phase to ensure accountability and track progress effectively.</p>
<p>Phase one:</p>
<ul>
<li>Inception Report: Detailed work plan, methodologies, and stakeholder engagement strategy.</li>
</ul>
<p>Phase two:</p>
<ul>
<li>Situational Analysis Report: Findings from the feasibility study, market assessment, and risk analysis.</li>
<li>Complete a comprehensive assessment report on the financial, legal, and operational readiness for establishing or transforming a &#8220;D&#8221; class financial institution, including:</li>
<li>Assessment of market demand for financial products, competitive landscape, and the needs of SEWCs and smallholder farmers.</li>
<li>Identification and analysis of at least five key risks (financial, regulatory, operational) with actionable mitigation strategies.</li>
</ul>
<p>Phase three:</p>
<ul>
<li>Awareness-Raising Materials: Develop required workshop materials e.g. presentations, handouts, and key messages tailored for SEWA stakeholders and facilitate five workshops.</li>
<li>Option Analysis: Suggest one viable option comparing the feasibility of establishing a new &#8220;D&#8221; class institution versus transforming an existing one (recommend top two “D” class banks).</li>
</ul>
<p>Phase Four:</p>
<ul>
<li>Strategic Roadmap: Detailed plan for establishing or transforming the &#8220;D&#8221; class financial institution.</li>
</ul>
<p>Phase Five:</p>
<ul>
<li>Final Report: Prepare a comprehensive document summarizing all findings, analyses, and actionable recommendations.</li>
</ul>
<p><b>5. Expected Outcomes</b></p>
<p>A clear, evidence-based decision on whether to establish a new &#8220;D&#8221; class financial institution or transform an existing one.</p>
<ul>
<li>Strengthened awareness and readiness among SEWA board members, provincial chapters, and cooperative members.</li>
<li>A strategic roadmap for SEWA Nepal to enhance financial access for SEWCs and their members.</li>
<li>Alignment with Nepal’s prevailing national financial inclusion policies and sustainable economic development goals.</li>
</ul>
<p><b>6. Consultant Qualifications</b></p>
<ul>
<li>A master’s degree in economics or an equivalent field. A foreign degree would be an advantage.</li>
<li>Proven expertise in financial literacy, financial inclusion, cooperative development, or microfinance.</li>
<li>Fifteen or more years of experience in Nepal’s financial sector.</li>
<li>Strong understanding of Nepal’s regulatory environment for financial institutions.</li>
<li>Prior experience in conducting feasibility studies, strategic planning, and stakeholder engagement (preference will be given to those who have worked with Heifer).</li>
<li>Excellent communication and facilitation skills.</li>
</ul>
<p><b>7. Responsibilities of Heifer International Nepal</b></p>
<ul>
<li>Heifer International Nepal will provide guidance and oversight for the entire process, ensuring alignment with strategic objectives and ensuring expectation of SEWA, SEWC and their members.</li>
<li>Heifer together with SEWA and SEWCs will organize workshops, training sessions, and mentoring programs for cooperative leaders and members.</li>
<li>Heifer will guide in building relationships with potential “D” class banks, including pitch the idea and deal making together.</li>
<li>Heifer will supervise and oversee the establishment of the M&amp;E system, ensuring proper development of meeting minute, periodic reporting, and course correction where need.</li>
</ul>
<p><b>8. Counterpart Personnel</b></p>
<ul>
<li>BD and A2F Lead will supervise the consultant, whereas Sr./Program Managers for strategic oversight and coordination.</li>
<li>Regional Field Teams for provincial and SEWC level meeting and workshops.</li>
</ul>
<p><b>9. Competency Requirements for Consultant</b></p>
<p>The consultant/team should possess the following qualifications.</p>
<ul>
<li>Proven experience in meeting and workshop facilitation technical backing experience in banking industry, banks supervision, cooperative capacity assessment, deal making, and capacity building.</li>
<li>Expertise in financial analysis, business planning, and proposal development.</li>
<li>Familiarity with Nepal’s banking industry, women entrepreneurship, agricultural, financial, and cooperative sectors.</li>
<li>Aware of importance of gender-sensitive financial practices aligning with SEWA Nepal’s objectives.</li>
<li>Ability to produce high-quality reports and documentation in English.</li>
<li>Experience working with but not limited to NRB, Heifer, donor-funded projects and impact-driven initiatives.</li>
</ul>
<p><b>10. Duration of Assignment </b></p>
<p>The assignment will span 16 months, from Mid-February 2025 to July 2026. In addition to phase wise deliverables, quarterly progress reports will be submitted to update Heifer team, Cooperatives and other stakeholders on key activities and achievements. The periodic report of each assignment, summarizing all activities, outcomes, and recommendations, will be submitted by end of each assignment and the final report by 20 June 2026. If any delays happened during this period, an adjustment will be made upon mutual agreement between the consultant and the organization.</p>
<p><b>11. Heifer’s Input </b></p>
<p>Heifer shall provide relevant information, project document and resources to the consultant and facilitate coordination between the consultants and concerned stakeholders/institutions as and when necessary. The Heifer shall provide logistical support (food, accommodation and transport etc. as per Heifer policy) to the consultant during the execution of consultancy service. Heifer shall designate a primary contact person who will act as professional and support counterpart personnel to the consultant team for any necessary assistance. The consultant shall work closely with her/him and the concerned team members for quality deliverables.</p>

<p><b>Scope of Work: </b></p>
<ul>
<li>Producing high-quality photos and videos from Heifer International Nepal&#8217;s project areas.</li>
<li>Conducting interviews with project participants, stakeholders, and Heifer Nepal staff to gather impactful stories.</li>
<li>Creating content that aligns with Heifer International Nepal&#8217;s mission and vision.</li>
<li>Ensuring all content is suitable for various platforms, including social media, websites, and print media.</li>
<li>Collaborating with Heifer International Nepal&#8217;s communication team to ensure consistency in messaging.</li>
</ul>
<p><b>Deliverables:</b></p>
<ul>
<li>Final edited photos from all the project areas</li>
<li>A total of 12 short video documentaries (not more than 2 minutes) along with background music and voice over where necessary</li>
<li>A submission of final report along with all the photos and videos (including b rolls) in a hard drive.</li>
</ul>
<p><b>Coverage Area: </b>Butwal, Dang, Janakpur, Chitwan</p>
<p><b>Duration:</b> The consultancy will be for a period of five months, starting from February 2025 to June 2025.</p>
<p><b>The company will work closely with Heifer Nepal to perform the following tasks:</b></p>
<ul>
<li>Create a storyboard and shot list of the videos and photos.</li>
<li>Heifer will give leads to the consultant for shooting dates and travel plan, the consultant will take video footages and photos relevant to the story.</li>

<li>Briefing and detailed explanation of the kind of content needed and help in defining the best content for different purposes.</li>
<li>Coordinate with the field program team for capturing videos and photos of project participants at project sites.</li>
<li>Provide feedback on edited videos and photos for correction.</li>

<p><b>Requirements: </b></p>
<ul>
<li>Minimum 3 years of working experience in videography with a record of providing high-quality, creative, images for clients.</li>
<li>Ability to communicate in English and Nepali.</li>
<li>Previous experience with Heifer International Nepal and familiarity with Heifer International Nepal modality is preferred.</li>
<li>Must procure and manage other videography related equipment, including Camera. Rental charges will not be borne by Heifer International Nepal.</li>

                    <description><![CDATA[<p><b>Terms of Reference for Regenerative Agriculture Specialist (Regular Consultant)</b></p>
<p><b>1.    Background</b></p>
<p><b>Heifer International </b>is a global development organization on a mission to end hunger and poverty in a sustainable way with caring for the earth through agriculture-based livelihoods and market system development programs. Heifer International Nepal aims to bring smallholder farm families above the living income benchmark sustainably through their engagement in competitive, sustainable, resilient, and inclusive agricultural value chains. Heifer considers regenerative agriculture as a viable approach for restoring and enhancing the agroecological health including improved improving soil quality, water retention, and overall farm resilience. The intention of regenerative agriculture is to increase the land’s ability to heal and restore itself, so the soil productivity remains sustainably sufficient.</p>
<p>Nepal has geographical, socio-economic, agroecological and farming system diversity across diverse eco-belts in Nepal, we do have very limited access and adoption of regenerative agriculture practices. On the other hand, we do not have concrete evidence or model package of practice to recommend for the smallholder farmers thriving for sustainability and resiliency. On this drop back, Heifer is planning to implement a 2-year action research initiative on regenerative agriculture. This pilot initiative will be implemented in selected local governments of Dang and Pyuthan. It is expected the initiative enables the local extension service providers, smallholder farmer, their groups and cooperatives to build their capacity across different value chains for increased yield, income through adopting locally sustainable and regenerative agricultural practices. To coordinate this initiative and support local partner NGOs and community – Heifer International Nepal is seeking a Regenerative Agriculture Specialist as regular consultant.</p>
<p><b>2.    Major role and Responsibilities</b></p>
<p>The Regenerative Agriculture Specialist will serve as a primary focal person for managing the action research pilot initiative on regenerative agriculture to be implemented in 4 local governments of Dang and 3 local governments of Pyuthan districts of Nepal. S/he shall coordinate with program team to provide technical backstopping to NGO partners on identifying site appropriate regenerative soil management technology and practices for improving soil health (fertility management, composting and organic farming practices, soil organic carbon, cover crops and green manuring, optimal tillage, crop diversity, carbon  sustainable yield, resilient farming system and so on), build capacity of project staffs on related field and provide proper guidance. S/he will be responsible to liaise with concerned project partners, technical partners, local government and other stakeholders for leveraging opportunities and collaboration for optimal project results. Specifically, s/he shall perform following responsibilities and deliverables:</p>
<p><b>a.    Project management and technical support</b></p>
<ul>
<li>Prepare required guidelines for effective project implementation of regenerative agricultural practices at community level.</li>
<li>Support partner NGOs to setup project activities, prepare detailed implementation plan (DIP), facilitate its smooth implementation</li>
<li>Support partner NGOs on hiring competent project staffs and their effective mobilization,</li>
<li>Design and deliver capacity building events and package for the project staffs.</li>
<li>Participate in field events to guide and support field staffs on delivering technical assistance to farmers on adopting regenerative agricultural practices.</li>
<li>Ensure the capacity building of project partners, including training and backstopping.</li>
<li>Adopt appropriate strategies and plans at local level to meet the project goals and targets.</li>
<li>Collaborate with thematic lead and ensure quality in project service delivery.</li>
</ul>
<p><b>b.    Project coordination, monitoring, and reporting</b></p>
<ul>
<li>Visit project sites, collaborate with farmers, groups, field schools, demonstration plots to understand the context, progress, and follow up on recommendations.</li>
<li>Ensure the project milestones, objectives and requirements are fulfilled.</li>
<li>Regularly monitor, document and report the project progress and plan next steps as appropriate.</li>
<li>Facilitate joint field missions, monitoring, review and evaluation sessions together with local governments and other concerned stakeholders.</li>
<li>Build and maintain sound collaborative relationship with network of governments, I/NGOs, academia and other stakeholders for smooth implementation of interventions, leverage resource opportunities.</li>
<li>Coordinate with related private sectors and ensure that required services are delivered.</li>
<li>Collaborate with MELS, NARC, University and other relevant institutions to document the results of interventions.</li>
</ul>
<p><b>c.    Networking and Knowledge Management </b></p>
<ul>
<li>Assist in developing tools, techniques and resources for fostering regenerative agriculture competency at program level.</li>
<li>Support in designing and delivering regenerative agriculture and soil management related manuals, technology brief, tech-videos and extension resources</li>
<li>Collaborate and support with NARC and University partner for synergy and efficiency of the project impact.</li>
<li>Collaborate with Knowledge Management and Communication unit to document the project developed/promoted knowledge, practices, technologies and best practices, and disseminate through appropriate platforms.</li>
<li>Develop and maintain links with relevant professional service providers.</li>
<li>Support lead farmers, groups, project partners to leverage resources from local/provincial government, and other opportunities.</li>
</ul>
<p><b>d.    Other job-related duties as assigned </b></p>
<p><b>3.    Job location and duration </b></p>
<p>This position will be Dang based with extended travel to project areas.</p>

<p><b>5.    Required Qualifications and skills:</b></p>
<ul>
<li>At least Masters’ degree on Agricultural Science (preferably Soil Science) or equivalent plus a minimum of five (5) years of experience in related field.</li>
<li>Demonstrated ability to collaborate effectively with individuals from diverse cultural, socio-economic, and professional backgrounds.</li>
<li>Strong interpersonal skills, leadership qualities and communication skills with an emphasis on inclusive communication, team environment, and relationship-building.</li>
<li>Proven ability to manage time effectively, prioritize tasks, and navigate competing priorities.</li>
<li>Proficient in word processing, spreadsheets, presentation tools, electronic mails, and internet with adaptability to learn new tools and technologies as needed.</li>
<li>Ability to work under pressure while maintaining sensitivity to diverse needs and perspectives to meet deadlines equitably.</li>

<p><b>DEVELOP MANUAL ON REGENERATIVE AGRICULTURE AND DELIVER TRAINING OF TRAINERS (TOT)</b></p>
<p><b>1.    BACKGROUND AND CONTEXT</b></p>
<p><b>Heifer International </b>is a global development organization on a mission to end hunger and poverty in a sustainable way with caring for the earth. Heifer International Nepal aims to bring smallholder farm families above the living income benchmark sustainably through their engagement in competitive, sustainable, resilient, and inclusive agricultural value chains. To date, Heifer has supported over 400,000 farming families, 5,000 self-help groups and 300 Social Entrepreneur Women Cooperatives (SEWCs) in Nepal through strengthening social capital development, farm performance improvement in market system development approach with substantial efforts for caring of earth.</p>
<p>Heifer considers regenerative agriculture as a viable approach for restoring and enhancing the agroecological health including improved improving soil quality, water retention, and overall farm resilience. The intention of regenerative agriculture is to increase the land’s ability to heal and restore itself, so the soil productivity remains sustainably sufficient. Considering the geographical, socio-economic, agroecological and farming system diversity across diverse eco-belts in Nepal, locally adaptable extension resources are rarely available. Therefore, Heifer International intends to develop a manual on regenerative agriculture which can be useful reference for the front-line extension workers, practicing farmers, input suppliers, policy makers and other stakeholders. This manual shall provide practical guidance, knowledge, skills, and tools necessary to successfully implement regenerative agriculture methods to care for earth across diverse farming systems.</p>
<p><b>2.    OBJECTIVES</b></p>
<p>The primary objective of this assignment is to develop a practice field manual on regenerative agriculture followed by delivering a tailor-made a training to the trainers, the front-line extension staffs. Specifically, it should aim to:</p>
<ul>
<li>Provide a clear and accessible introduction to regenerative agriculture principles and practices.</li>
<li>Offers practical guidance on how to implement regenerative techniques in Nepalese farming contexts.</li>
<li>Includes step-by-step instructions, case studies, illustrations, and resources to support effective learning and implementation.</li>
<li>Serves as a key knowledge resource for regenerative agriculture practitioners on designing, implementing and monitoring the regenerative agriculture and soil health.</li>
<li>Enhance knowledge and skills of front-line agriculture professionals on regenerative agriculture.</li>
</ul>
<p><b>3.    SCOPE OF WORK</b></p>
<p>The scope of this assignment is developing regenerative agriculture manual primarily targeting for field extension staffs and farmers with innovative tools, techniques and practices that helps farmers transition from conventional to regenerative practices. The manual will cover, not limited to, the following key aspects:</p>
<p><b>a.    Introduction to Regenerative Agriculture</b></p>
<ul>
<li>Overview and definition of regenerative agriculture.</li>
<li>Key principles of regenerative agriculture.</li>
<li>The significance of regenerative practices for sustainable agriculture and environmental stewardship, soil health improvement in global, national, and local context.</li>
</ul>
<p><b>b.    Core Regenerative Practices</b></p>
<ul>
<li>Soil and soil fertility management techniques</li>
<li>Tillage and agronomic practices.</li>
<li>Integrated crop and pest management.</li>
<li>Agroforestry practices including homestead gardening, fruit forest, fodder/forage,</li>
<li>Soil moisture management practices.</li>
<li>Crop-livestock integration and management.</li>
<li>Water conservation practices, including rainwater harvesting, efficient irrigation systems, and moisture retention methods.</li>
</ul>
<p><b>c.    Economic and Social Aspects of Regenerative Agriculture</b></p>
<ul>
<li>Economic benefits and challenges of adopting regenerative practices.</li>
<li>How regenerative agriculture can increase farm productivity and resilience.</li>
<li>Social and community benefits (e.g., improved food security, community engagement, and rural development).</li>

<p><b>4.    TARGET AUDIENCE</b></p>
<p>This manual shall serve for a wide range of stakeholders, including:</p>
<ul>
<li><b>Farmers:</b> Small-scale farmers, with low or no experience in sustainable and regenerative agriculture practices.</li>
<li><b>Agricultural Extension Workers:</b> Trainers, field extension officers, and others who provide support to farmers.</li>
<li><b>Community Leaders and NGOs:</b> Individuals and organizations promoting sustainable and/or regenerative farming practices.</li>
<li><b>Policymakers:</b> Government representatives working on agricultural and environmental policy.</li>
</ul>
<p><b>5.</b>    <b>METHODOLOGY</b></p>
<p>The development of the training manual will involve the following steps:</p>
<p><b>5.1.Desk review and literature research</b></p>
<ul>
<li>Review of existing literature on regenerative agriculture, including academic papers, reports, and training materials.</li>
<li>Analysis of best practices and case studies from regions or projects where regenerative agriculture has been successfully implemented.</li>
</ul>
<p><b>5.2.Consultation with Heifer and other Stakeholders</b></p>
<ul>
<li>Consultation with Heifer on its experience and objectives of this manual preparation,</li>
<li>Interviews and focus group discussions with farmers, agricultural experts, and practitioners of regenerative agriculture.</li>
<li>Gathering input from agricultural extension services, NGOs, and community groups about the specific needs of the target audience.</li>
</ul>
<p><b>5.3.Content Development</b></p>
<ul>
<li>Drafting and structuring the manual in a clear, simple, and user-friendly manner.</li>
<li>Incorporating both theory and practical instructions to facilitate effective learning.</li>
<li>Ensuring that the content is relevant to local contexts and adaptable to different types of farming systems.</li>
<li>Incorporating diagrams, flowcharts, photographs, sketches and illustrations to enhance understanding of the concepts.</li>
<li>Using case study examples and success stories from local or regional farms to provide context.</li>
</ul>
<p><b>5.4.Pilot training of trainers using the manual </b></p>
<ul>
<li>Design training design and contents for a 5 day’s Training of Trainers (TOT)</li>
<li>Conduct the training need assessment, pre-test and post-test assessment.</li>
<li>Delivery the TOT using the drafted manual.</li>
<li>The training should use blended approach, combining theoretical sessions with practical demonstrations. The methods will include Lectures and Presentations, Field Visits, Group Discussions and Case Studies, Hands-on Exercises and Q&amp;A Sessions.</li>
<li>Develop user-friendly presentation slides, cases and stories for the TOT and community level training.</li>
</ul>
<p><b>4.5. Review, feedback and finalization</b></p>
<p>Seeking feedback from Heifer team and other stakeholders including farmers, experts, extension staffs and institutions) to ensure the manual is practical and effective.</p>
<p>Reviewing and editing the content for clarity, accuracy, and completeness.</p>
<p>Preparing the final version of the manual, including formatting for print and digital versions.</p>
<p>Developing supplementary materials such as a Power-Point presentation for trainers and a printable toolkit for farmers.</p>
<p><b>6.    DURATION</b></p>
<p>The estimated time for completing the assignment is 30 effective person days spreading over 2 months from date of contract, broken down as follows:</p>
<ul>
<li>Desk review and initial consultations: 5 days</li>
<li>Content development and drafting: 12 days</li>
<li>Review and feedback: 5 days</li>
<li>Pilot training (TOT): 5 days</li>
<li>Finalization and production: 3 days</li>
</ul>
<p><b>7.    DELIVERABLES</b></p>
<p>The final deliverables for this assignment will include:</p>
<p>a.    Inception report: this inception report shall present the clarity of the assignment, context, objectives and deliverables, appropriate tools, techniques, and methodologies as well as timeline.</p>
<p>b.    Regenerative Agriculture Manual: A comprehensive, well-structured manual in both print and digital formats, including visual aids, case studies, and practical tools. This manual should be in Nepali language.</p>
<p>c.    Supplementary Materials: PowerPoint presentation, handouts, checklists, and other resources for trainers and participants.</p>
<p>d.    Training package: Training session and guideline for TOT and field level training events.</p>
<p>e.    Training delivery: Deliver a 5 day’s training of trainers organized by Heifer in Dang. The training delivery will be in Nepali language.</p>
<p>f.    Report: A final assignment completion report summarizing the entire process and outputs.</p>
<p><b>8.    INSTITUTIONAL ARRANGEMENTS AND REPORTING </b></p>
<p>HPIN shall provide relevant information, project document and resources to the consultant and support as and when necessary. The project shall not provide any direct logistical support to the consultant during the assignment, particularly for the manual development. However, Heifer will take the leadership role on organizing the TOT including identification of training participants, arrangement for training materials as requested and logistical support for the training. HPIN shall designate a primary contact person who will function as professional and support counterpart personnel to the consultant team for any necessary assistance. The consultant shall collaborate closely with her/him and the concerned team members for quality deliverables. Similarly, s/he will liaise with other collaborating partners and stakeholders as necessary.</p>
<p><b>9.    BUDGET AND FINANCIAL ARRANGEMENTS</b></p>
<p>The total consultancy fee of this assignment shall be released by defined milestone.</p>
<p><b>10. REQUIRED COMPETENCY AND ELIGIBILITY OF THE CONSULTANTS </b></p>
<p>The consultant(s) should have following competency and eligibility criteria:</p>
<ul>
<li>At least master’s degree in agriculture with minimum 10 years professional experience in related field.</li>
<li>Proven experience of preparing manual on sustainable agriculture, sustainable soil management and regenerative agriculture.</li>
<li>Successful experience of accomplishing similar assignments in recent past.</li>
<li>Proficient in designing and delivering trainings on related field.</li>
<li>Sound knowledge and experience sustainable agriculture / regenerative soil management practices, climate change, agroecology and farming systems in Nepalese perspectives.</li>
</ul>
